Data Processing Agreement

This Data Processing Agreement ("Agreement") is entered into by and between Server Armour ("Data Processor") and the customer ("Data Controller") as of the date the Data Controller started using Server Armour's services (the "Effective Date").

1. Scope and Purpose

This Agreement applies when Data Processor processes Personal Data on behalf of Data Controller. The purpose of processing is the provision of services set out in the Terms of Service or other agreed services.

2. Obligations of Data Processor

Data Processor will only process Personal Data on documented instructions from the Data Controller and shall ensure the security and confidentiality of the Personal Data.

3. Obligations of Data Controller

Data Controller represents and warrants that it has complied with, and will continue to comply with, all applicable laws relating to privacy and data protection.

4. Sub-Processors

Data Processor may engage Sub-Processors to process Personal Data. Data Processor will impose data protection terms on Sub-Processors that protect the Personal Data to the same standard provided for by this Agreement.

5. Data Subject Rights

Data Processor will assist Data Controller by implementing appropriate technical and organisational measures, insofar as this is possible, for the fulfilment of Data Controller's obligation to respond to requests for exercising the data subject's rights.

6. Data Breaches

Data Processor will notify the Data Controller without undue delay upon becoming aware of a personal data breach.

7. Termination

Upon termination of the services, Data Processor will delete or return all Personal Data to the Data Controller as requested, and delete existing copies unless EU law or the EU Member State law requires storage of the Personal Data.

8. Governing Law

This Agreement is governed by the laws of Germany.
